Terms and Conditions

1. Acceptance of Terms
Welcome to Saturnique Inc. ("Saturnique," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our bookkeeping, cloud accounting, financial analysis & insights, process management & automation, and change management services (collectively, the "Services"), as well as our website and any related platforms.
By accessing, registering for, or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
2. Services Offered
Saturnique Inc. provides a range of professional services, including but not limited to:
- Bookkeeping
- Cloud Accounting
- Financial Analysis & Insights
- Process Management & Automation
- Change Management
The specifics of the services provided to you will be detailed in a separate Service Agreement or Statement of Work (SOW) executed between you and Saturnique Inc. These Terms and Conditions set forth the general framework for our engagement.
3. Who may use the Services
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into binding contracts to use the services.
- You may use the services only if you are not prohibited from receiving them under applicable law or court order.
- If you register on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. References to “you” include both an individual user and the organization on whose behalf the user acts.
4. Client Responsibilities
To enable us to provide the Services effectively, you agree to:
- Provide Accurate Information: Furnish Saturnique Inc. with complete, accurate, and timely information, documents, and data required for us to perform the services. This includes financial records, access to relevant software, and any other information requested.
- Maintain System Access: Grant us secure, necessary access to your accounting software, bank accounts (via read-only credentials where possible), and other relevant systems, and promptly update credentials if changed.
- Review & Approvals: Review deliverables (e.g., reports, filings) in a timely manner and provide necessary approvals or feedback.
- Compliance: Ensure your data and business operations comply with all applicable laws and regulations. You are solely responsible for the accuracy of the source information you provide.
- Cooperation: Designate a point of contact and cooperate in good faith for the duration of the engagement.
- Timely Payments: Make all payments for services rendered in accordance with the payment schedule outlined in your Service Agreement.
- Decision Making: Make timely decisions regarding your business operations and strategy that may be informed by our analysis and recommendations.
5. Fees, Billing, and Payment
Fees
Fees will be as specified in your SOW. They may be structured as:
- A fixed monthly/quarterly retainer.
- Hourly rates for specified work.
- A project-based fee.
Additional Costs
- Expenses beyond the agreed scope (rush requests, additional analysis, system integrations) may incur additional fees.
- We will notify you of additional costs before proceeding and obtain written approval.
Billing & Invoicing
- Invoices will be issued as per the SOW schedule (upon milestone completion).
- Invoices are due within 15 days of receipt unless otherwise stated.
Late Payments
- Late payments may be subject to a finance charge of 1.5% per month (or the maximum rate permitted by law) on the outstanding balance.
- We reserve the right to suspend services until all overdue amounts are paid in full.
Taxes
You are responsible for all applicable sales, use, GST/VAT, or other taxes, which will be added to invoices where required by law.
Expenses
Any out-of-pocket expenses incurred by Saturnique Inc. in the course of providing the Services (e.g., travel, software subscriptions if not covered by your plan) will be billed separately and require your prior approval, unless otherwise specified in the Service Agreement.
6. Intellectual Property
Pre-existing IP: Each party retains ownership.
Deliverables: You own custom workflows/dashboards upon full payment; we retain right to use anonymized case studies.
No license granted unless specified.
7. Data Protection & Privacy
Compliance: Both parties will comply with applicable data protection laws. Saturnique will process personal data only as instructed by you and in accordance with our Privacy Policy.
Security: Saturnique implements reasonable technical and organizational measures to protect client data. However, no system is completely secure; we are not liable for breaches arising from factors beyond reasonable control.
Data Retention & Deletion: Data retention terms will be specified in the engagement agreement or our Privacy Policy. Upon termination, we will delete or return client data as agreed, subject to legal retention obligations.
8. Disclaimer & Limitation of Liability
Mutual Warranties: Each party represents that it has authority to enter into the engagement and will comply with applicable laws.
Saturnique Warranty: Saturnique warrants that services will be performed with reasonable skill and care consistent with professional standards. While we strive for accuracy and impactful results, we do not guarantee specific business outcomes, financial results, or that our recommendations will be error-free. We offer 30-day fix for defects at no additional cost.
Not Professional Advice (Legal/Tax): Our services are for business advisory, process, and accounting support. We are not a law firm or a substitute for legal or tax counsel. You are responsible for consulting with qualified legal and tax professionals for advice specific to your situation.
Limitation of Liability: To the fullest extent permitted by law, Saturnique Inc.'s total liability arising out of or related to these Terms or the services shall not exceed the total fees paid by you to us for the specific services giving rise to the claim in the six (6) months prior to the event.
No Consequential Damages: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
Exceptions: The limitations above do not apply to liability arising from gross negligence, willful misconduct, fraud, or breach of confidentiality obligations where applicable law does not permit such limitation.
9. Termination
Termination for Convenience: Either party may terminate an engagement as set out in the applicable engagement agreement or SOW. For services without a fixed term, either party may terminate with reasonable written notice.
Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure within thirty (30) days of written notice (or shorter where immediate cure is not practicable).
Effects of Termination: Upon termination, you will pay for all services rendered up to the termination date. We will provide a reasonable transition period to return your data and materials.
Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
